Terms of Service
These Terms of Service govern access to and use of Orpheus, including the Orpheus control plane, invite-only product surfaces, spawned client platforms, and related hosted, billing, integration, and AI-assisted workflows operated by Orishnal Digital.Acceptance and Eligibility
By accessing or using Orpheus, you agree to these Terms. If you use Orpheus on behalf of a company, client, or other entity, you represent that you have authority to bind that entity to these Terms.
You must be legally able to enter into a binding agreement and may use the service only in compliance with applicable law.
Invite-Only Access and Accounts
Orpheus is an invite-only and admin-controlled service. Access may depend on approval, customer onboarding status, domain routing, tenant membership, or platform-admin confirmation.
You are responsible for maintaining the confidentiality of your account credentials and for activities that occur under your account. Customer or tenant administrators may control, provision, suspend, or remove your access within their environment.
Service Scope
Orpheus provides multi-tenant software, customer-branded spawned platforms, workflow automation, provider connection tooling, operational dashboards, billing surfaces, and related infrastructure and support services.
Some functionality may depend on third-party providers, customer-owned infrastructure, preview environments, custom domains, or staged onboarding flows. Certain features may be marked private, preview, limited, or admin-only.
Acceptable Use
- Do not use the service to violate law, infringe rights, or interfere with the service, its infrastructure, or other users.
- Do not attempt unauthorized access, credential misuse, scraping beyond permitted access, reverse engineering beyond applicable legal rights, or abuse of approval-gated or admin-only workflows.
- Do not upload, transmit, or operate content, data, or integrations that you do not have the right to use.
- Do not use Orpheus to send spam, deceptive messages, malware, or harmful automated traffic.
Customer Data, Content, and Integrations
You retain responsibility for the legality, accuracy, and rights clearance of data, content, credentials, configuration, domains, and integrations you or your organization place into Orpheus or connect through it.
If you operate a spawned platform, you are responsible for your downstream notices, customer-facing terms, privacy disclosures, permissions, and compliance obligations for the end-user or client data you control within that environment.
You are also responsible for the security and authorized use of connected provider accounts, API keys, OAuth connections, billing relationships, and custom-domain settings associated with your environment.
AI-Assisted and Agent Features
Orpheus may include AI-assisted, agentic, or approval-gated workflows. These features may generate outputs, recommendations, operational actions, or summaries based on user instructions, connected data, and configured tools.
You are responsible for reviewing outputs and approvals before relying on them for legal, financial, operational, security, or business-critical decisions. AI-generated output may be incomplete, inaccurate, or unsuitable for your use case.
Billing and Payments
Paid features, subscriptions, usage-based charges, invoices, payment terms, or customer-specific commercial arrangements may apply to your use of Orpheus or related spawned-platform services.
If billing is handled through Stripe, Stripe Connect, invoicing, or another supported billing workflow, you authorize the applicable charges and agree to provide accurate billing information. Fees are non-refundable except as required by law or stated in a separate written agreement.
Intellectual Property
Orpheus, including its software, product design, documentation, branding, and underlying platform materials, is owned by Orishnal Digital or its licensors and is protected by intellectual property laws.
Except for the limited rights needed to use the service under these Terms, no rights are granted to you by implication or otherwise.
Confidentiality
If you receive non-public information about Orpheus, its customers, or its operations, you will protect that information using reasonable care and use it only as needed to access or operate the service.
Changes, Availability, and Third-Party Dependencies
We may modify, suspend, or discontinue features, integrations, routes, or service components from time to time. We are not responsible for outages, limitations, pricing changes, policy changes, or API behavior changes caused by third-party providers.
We may update these Terms by posting a revised version. Continued use after the effective date of revised Terms constitutes acceptance of the updated Terms.
Suspension and Termination
We may suspend or terminate access if we reasonably believe you violated these Terms, created legal or security risk, failed to pay amounts due, misused integrations or credentials, or interfered with service operations.
Customer administrators may also remove or limit your access within their environments. Upon termination, your right to use the service stops immediately, but provisions that by their nature should survive will survive.
Disclaimers
Orpheus is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Limitation of Liability
To the fullest extent permitted by law, Orishnal Digital and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities.
To the fullest extent permitted by law, the aggregate liability of Orishnal Digital arising out of or relating to the service or these Terms will not exceed the greater of the amount you paid to Orishnal Digital for the service during the 12 months before the event giving rise to the claim, or one hundred Canadian dollars.
Indemnity
You will defend, indemnify, and hold harmless Orishnal Digital and its affiliates, officers, employees, contractors, and licensors from claims, damages, liabilities, costs, and expenses arising out of your content, data, domains, integrations, misuse of the service, or violation of these Terms or applicable law.
Governing Law and Venue
These Terms are governed by the laws of British Columbia, Canada, excluding conflict-of-law rules. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the courts located in British Columbia, Canada, and you consent to that jurisdiction and venue.
